These Reseller Terms & Conditions (“
Terms“) govern access to and use of the Jubaly.com, the Reseller API, and the official “Jubaly Reseller Connect” wordpress plugin (together, the “
Platform“), operated by
Jubaly Bangladesh, having its registered address at
Dhaka, Bangladesh (“
Jubaly“, “
we“, “
us“, or “
our“).
By applying for a reseller account, accessing the Platform, or placing any order through the Platform, you (“
Reseller“, “
you“) agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Definitions
- “Reseller Account” means the account created for you on the Platform, identified by your Jubaly user account and reseller status.
- “Wallet” means the prepaid balance held against your Reseller Account, from which the price of every Order is debited.
- “Product” means any digital top-up, recharge, in-game currency, subscription, or gift-card item made available for resale through the Platform’s catalog.
- “Order” means a purchase of one or more Products submitted through the Reseller API or the Jubaly Reseller Connect plugin.
- “End Customer” means any individual or entity to whom you resell a Product, whether through your own website, the Jubaly Reseller Connect plugin installed on your WooCommerce store, or any other channel.
- “API” means the Jubaly Reseller REST API (
/wp-json/jubaly/v1/...) and its documentation.
- “Connect Plugin” means the official “Jubaly Reseller Connect” WordPress plugin that integrates your store with the Platform.
2. Eligibility, Application & Account Status
2.1 To place Orders, you must submit a reseller application and be
approved by Jubaly. Jubaly reviews applications at its sole discretion and may approve, reject, or request additional information before approving an application.
2.2 Your Reseller Account will be in one of the following states at any time:
pending (application under review),
approved (active, may place Orders),
suspended (temporarily blocked — see Section 12), or
rejected. Only approved accounts (or Jubaly staff, for support purposes) may access the API or place Orders.
2.3 You must provide accurate, current information in your application (including your business name/site and contact details) and keep it up to date. Jubaly may request supporting documentation to verify your identity or business at any time, including for AML/KYC purposes given that Wallet funding may involve cryptocurrency (see Section 4).
2.4 Jubaly may set or adjust your reseller discount/pricing tier on a per-product or per-variation basis, at its sole discretion, and may change it at any time.
3. The Reseller Wallet
3.1 All Orders are prepaid: your Wallet must hold sufficient balance, at
your reseller price (not any price you may charge your End Customers), before an Order can be placed. If your balance is insufficient, the Order is rejected (API error
jbl_insufficient_funds) and no goods are delivered.
3.2
Funding methods. Jubaly targets resellers globally. Wallet top-ups are accepted via
cryptocurrency (USDT) and
bank transfer only.
Bangladeshi mobile financial services (e.g., bKash, Nagad, Rocket) are not accepted for Wallet top-up, regardless of where you or your End Customers are located. [Add any minimum top-up amount, supported networks/chains for USDT, and processing-time details for your chosen payment methods here.]
3.3 Because cryptocurrency transactions are irreversible and exchange rates fluctuate, Jubaly will credit your Wallet based on the amount actually received and confirmed on-chain (or received in your nominated bank account), converted at the rate and method Jubaly applies at the time of crediting. Jubaly is not responsible for funds sent to an incorrect address/account, sent on an unsupported network, or lost due to third-party payment-rail or blockchain-network issues.
3.4 The Wallet is
not a bank account, does not earn interest, and is not insured or protected by any deposit-guarantee scheme. Wallet balances are denominated and debited in the currency shown in your dashboard/API responses; where prices are shown in another currency for reference (e.g., an approximate USD conversion), the actual debit is always the reseller price in the Wallet’s base currency.
3.5 You may configure a low-balance alert threshold; Jubaly will attempt to notify you (by webhook and/or account notice) when your balance falls below it, but Jubaly does not guarantee delivery or timeliness of such alerts, and it remains your responsibility to monitor your own balance.
4. Products, Pricing & Catalog Changes
4.1 The catalog of Products, their availability, stock status, required order fields, and your reseller pricing/discount are all subject to change by Jubaly at any time, without prior notice. You are responsible for keeping your own systems (or the Connect Plugin) synced with the current catalog — via the API, periodic sync, or the
product.updated webhook — rather than relying on cached prices or availability.
4.2 Displaying, marketing, or selling a Product to your End Customers does not guarantee its continued availability at the price last known to you; an Order may fail (e.g.,
jbl_stock_out) if availability changes before you submit it.
5. Placing Orders
5.1 Orders may be placed via the signed Reseller API or via the Connect Plugin, which uses the API on your behalf.
5.2
Required fields. Every Product defines the exact information needed to fulfill it (e.g., a player ID, server, phone number, or delivery-type-specific fields such as an IMO ID or IMO phone number). You are solely responsible for collecting accurate information from your End Customer and submitting it exactly as the Product’s schema requires. Orders submitted with missing or incorrectly formatted fields will fail validation and
cannot be delivered; Jubaly is not liable for non-delivery caused by information you or your End Customer provided incorrectly.
5.3
Order references & duplicates. Each Order you submit must carry a unique reference (
client_order_no). You are responsible for your own duplicate-prevention: resubmitting the same reference while it is still processing will be rejected, but submitting a
new, distinct Order for a transaction you have already fulfilled by other means (for example, because you delivered it manually to your End Customer while a technical issue was being resolved) will result in a second, separate charge to your Wallet. Jubaly is not responsible for duplicate charges arising from your own double-submission of an Order for the same End-Customer transaction.
5.4 Order quantity and request-rate limits (for example, a maximum quantity per Order and a maximum number of API requests per minute) apply as published in the API documentation and may be changed by Jubaly at any time.
6. Order Fulfillment, Delivery & Status
6.1 Orders move through a status lifecycle (for example: processing → sending → a final status of completed, cancelled, refunded, or failed). Delivery timing depends on third-party networks, game publishers, telecom operators, and gift-card issuers outside Jubaly’s control, and
is not guaranteed to complete within any specific time.
6.2 For gift-card Products, the redeemable code is delivered on the Order (via the API or webhook) once available, which may not be at the moment the status first shows “completed.” You should rely on the presence of the code data itself (or the relevant webhook event), not solely on status text, before considering an Order undelivered.
6.3 You are solely responsible for your own communications, order tracking, and customer support toward your End Customers; Jubaly has no direct relationship with, and no obligations to, your End Customers.
7. Cancellations, Refunds & Failed Orders
This section describes an important asymmetry in how different outcomes are handled — please read carefully.
7.1
Cancelled or refunded Orders. If an Order is cancelled, or a refund (full or partial) is issued on it, the corresponding amount is credited back to your Wallet automatically.
7.2
Failed Orders. If an Order reaches a
failed status, your Wallet is
not automatically refunded. You must contact Jubaly support to request review and, where appropriate, a manual credit. Do not assume a failed Order will be refunded without contacting support.
7.3 Once a Product has been dispatched to the underlying network/publisher (i.e., the Order has moved past “processing”), or a gift-card code has been issued, it generally cannot be cancelled or recalled by either party, because the underlying digital good has already been (or is being) delivered. Digital top-ups, recharges, and gift-card codes are, by their nature, non-returnable once successfully delivered.
7.4 Nothing in this section limits any refund or remedy you are entitled to under applicable law that cannot be excluded by agreement.
7.5 You are responsible for handling refund, cancellation, or dispute requests from your own End Customers under your own storefront’s policies; Jubaly’s refund/credit mechanics described above operate strictly between Jubaly and you (the Reseller), not between Jubaly and your End Customers.
8. API Access, Credentials & Security
8.1 Approved Resellers receive an API key and a secret. The secret is shown
once at creation/regeneration; you are responsible for storing it securely, server-side only, and never embedding it in browser JavaScript, mobile app binaries, or any client-exposed code.
8.2 You are responsible for
all activity conducted using your API credentials, whether or not authorized by you, until you regenerate them. If you suspect your secret has been exposed or compromised, you must regenerate it immediately via your account dashboard.
8.3 If you register a webhook endpoint, it must be a publicly reachable HTTPS URL. You are responsible for verifying the authenticity of every webhook (via the provided signature) and for de-duplicating events by their event id.
8.4 Jubaly may apply rate limits, IP allow-listing, or other technical controls to your account at its discretion, and may throttle or temporarily block requests that exceed published limits or that Jubaly reasonably believes are abusive, automated in a harmful way, or a security risk.
9. Acceptable Use
You agree not to, and not to permit any third party to:
- use the Platform for any fraudulent, money-laundering, terrorist-financing, or other unlawful purpose;
- submit Orders using stolen, fraudulent, or unauthorized payment instruments, or otherwise cause chargebacks or reversals in connection with funding your Wallet;
- resell, or attempt to resell, Products to individuals or entities in territories or on sanctions/denial lists where such sale would violate applicable law or the terms of the underlying game publisher or gift-card issuer;
- submit knowingly false, stolen, or another person’s account/identity information as End Customer order data;
- attempt to reverse-engineer, scrape, or access the Platform other than through the documented API and the Connect Plugin;
- circumvent, or attempt to circumvent, rate limits, IP allow-listing, or other access controls;
- share, sell, sublicense, or otherwise make your API credentials available to any third party outside your own organization; or
- misrepresent your relationship with Jubaly, or represent Jubaly’s Products or infrastructure as your own in a way that is deceptive to End Customers or regulators.
Violation of this Section is grounds for immediate suspension or termination under Section 12.
10. Your Relationship With Your End Customers
10.1 Jubaly’s contractual relationship is with you, the Reseller —
not with your End Customers. You are solely responsible for: your own storefront, pricing, marketing, and representations to End Customers; your own customer support and dispute handling; and your compliance with all consumer-protection, e-commerce, advertising, tax, and data-protection laws applicable to your business and the territories where your End Customers are located.
10.2 Jubaly is not a party to, and accepts no liability arising from, any transaction, dispute, refund demand, or chargeback between you and your End Customers.
11. Data Protection
11.1 To fulfill an Order, you will submit certain End-Customer data to Jubaly (for example, a game/player identifier, server, or phone number required by the specific Product) via the API metadata fields. You must only submit data that is actually necessary to fulfill the Order, and must have a lawful basis under applicable data-protection law for collecting and sharing that data.
11.2 Jubaly processes the data you submit solely to validate, fulfill, and support the Order (and, where relevant, to communicate with you about it). [Insert or cross-reference your full Privacy Policy / data-processing terms here, including retention periods and any cross-border transfer disclosures relevant to your global reseller base.]
12. Suspension & Termination
12.1 Jubaly may suspend or terminate your Reseller Account, with or without prior notice, if: (a) you breach these Terms, including the Acceptable Use provisions in Section 9; (b) Jubaly reasonably suspects fraud, money laundering, or other unlawful activity; (c) chargebacks, payment reversals, or funding irregularities occur on your account; (d) required by law, regulation, or a competent authority; or (e) at Jubaly’s discretion for risk-management reasons.
12.2 You may stop using the Platform at any time by ceasing to place Orders and, if you wish, requesting closure of your Reseller Account.
12.3
Wallet balance on suspension/termination: [POLICY TO CONFIRM — e.g., “Any remaining Wallet balance will be refunded to your original funding source (or an equivalent method) within [X] business days of account closure, less any amounts owed to Jubaly, provided the account was not suspended or terminated for fraud, breach of Section 9, or unlawful activity, in which case the remaining balance may be withheld pending investigation and, where applicable, forfeited.” Confirm and finalize this policy before publishing.]
12.4 Sections that by their nature should survive termination (including Sections 7, 9, 10, 13, 14, 15, 16, and 17) survive termination of your Reseller Account.
13. Intellectual Property
The Platform, API, documentation, Connect Plugin, Jubaly’s trademarks, and the underlying software and product-catalog data remain the property of Jubaly (or its licensors). Subject to your compliance with these Terms, Jubaly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely to integrate with and resell Products in accordance with these Terms. No other rights are granted.
14. No Warranty; Service Availability
The Platform, API, and Connect Plugin are provided “as is” and “as available.” Jubaly does not warrant that the Platform will be uninterrupted, error-free, or available at all times, or that any Product will always be deliverable, since delivery depends on third-party networks, publishers, telecom operators, gift-card issuers, and payment/crypto infrastructure outside Jubaly’s control. To the maximum extent permitted by law, Jubaly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by applicable law: (a) Jubaly’s total aggregate liability to you arising out of or relating to these Terms or the Platform, for any single incident or series of related incidents, is limited to the amount actually debited from your Wallet for the specific Order(s) giving rise to the claim; and (b) Jubaly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, or goodwill, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for fraud or willful misconduct).
16. Indemnification
You agree to indemnify and hold Jubaly, its officers, employees, and affiliates harmless from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of applicable law; (c) inaccurate, false, or unauthorized End-Customer data you submitted; or (d) any dispute between you and your End Customers.
17. Changes to These Terms
Jubaly may update these Terms from time to time. The “Last updated” date at the top of this page will reflect the latest revision. Material changes will be communicated through your account or by email where reasonably practicable. Your continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.
18. Governing Law & Dispute Resolution
[GOVERNING LAW / JURISDICTION TO BE CONFIRMED — since Jubaly targets resellers globally, decide and insert: (a) which country’s law governs these Terms, and (b) how disputes are resolved (courts of a specific jurisdiction, or arbitration — including seat, rules, and language, if arbitration is preferred for a global reseller base). This is a decision your lawyer should help finalize, particularly given the cross-border and cryptocurrency-payment aspects of the business.]
19. Miscellaneous
19.1
Entire agreement. These Terms (together with any documents they expressly reference, such as a Privacy Policy) constitute the entire agreement between you and Jubaly regarding the Platform, superseding any prior agreements on the subject.
19.2
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
19.3
No waiver. Jubaly’s failure to enforce any provision is not a waiver of its right to do so later.
19.4
Assignment. You may not assign or transfer your Reseller Account or rights under these Terms without Jubaly’s prior written consent. Jubaly may assign these Terms in connection with a merger, acquisition, or sale of assets.
19.5
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including but not limited to internet or telecom outages, third-party network/publisher failures, blockchain network disruptions, or acts of government.
